1. Agreement to Terms

By accessing or using Fanbeam ("the Service"), a product of Arya Labs, Inc., you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Arya Labs, Inc.

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

Fanbeam is a social media scheduling and management platform that enables you to:

  • Create and schedule posts for multiple social media platforms
  • Upload, manage, and optimize media content for different platforms
  • Create platform-specific content variants with custom adaptations
  • Collaborate with team members and manage organization workspaces
  • Track publishing status, history, and analytics
  • Manage connected social media accounts and OAuth tokens

Currently Supported Platforms: Instagram, Facebook, Twitter/X, LinkedIn, TikTok, YouTube, Bluesky, Threads, and Pinterest. Platform support and features may change based on third-party API availability, business decisions, or platform policy changes. We will provide reasonable notice before discontinuing support for any major platform.

3. Eligibility

To use Fanbeam, you must:

  • Be at least 13 years of age (or the minimum age in your jurisdiction)
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using the Service under applicable laws
  • Comply with all local, state, national, and international laws

If you are using Fanbeam on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration and Security

To use Fanbeam, you must create an account and:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your password
  • Use a strong, unique password not used for other services
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access to your account

You are solely responsible for all activities that occur under your account, including actions by team members you invite. You agree to immediately notify us of any security breach or unauthorized use.

5. Acceptable Use Policy

You agree not to use Fanbeam to:

5.1 Prohibited Content

  • Post illegal, harmful, threatening, abusive, or offensive content
  • Infringe upon intellectual property rights of others
  • Violate privacy rights or distribute personal information without consent
  • Distribute malware, viruses, or malicious code
  • Engage in harassment, hate speech, or discriminatory content
  • Promote violence, terrorism, or illegal activities

5.2 Prohibited Activities

  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated tools, bots, or scrapers without written permission
  • Interfere with or disrupt the Service or servers
  • Bypass rate limits, authentication, or security measures
  • Resell, redistribute, or provide access to the Service without authorization
  • Use the Service for spam, bulk unsolicited messages, or malicious campaigns
  • Impersonate others or misrepresent your affiliation
  • Share account credentials with others (except authorized team members)

5.3 Platform Compliance

  • Comply with the terms of service, community guidelines, and policies of all connected social media platforms
  • Respect rate limits and API usage restrictions of connected platforms
  • Not use Fanbeam to circumvent platform restrictions or bans

6. Social Media Platform Integration

When you connect social media accounts to Fanbeam:

  • You explicitly authorize us to publish content on your behalf using OAuth tokens
  • You remain solely responsible for all content published through Fanbeam
  • You must comply with each platform's terms of service and community standards
  • You acknowledge that platforms may change their APIs, policies, or features without notice
  • We are not responsible for platform API changes, outages, rate limits, or restrictions
  • You can revoke platform access at any time from your account settings
  • We store OAuth tokens securely using XChaCha20-Poly1305 encryption
  • Tokens are immediately deleted when you disconnect a platform or delete your account

Platform-specific limitations may apply (character limits, media size limits, posting frequency, etc.). We make reasonable efforts to validate content before publishing, but cannot guarantee compatibility with all platform features.

7. Content Ownership and Licensing

7.1 Your Content

You retain full ownership of all content you create, upload, or publish through Fanbeam. By using the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your content within the Service
  • Publish content to your connected social media accounts as directed by you
  • Create backups and cached copies to ensure service reliability
  • Analyze content for spam detection, security, and service improvements
  • Generate platform-specific variants and adaptations as requested

This license ends when you delete content or close your account, except for:

  • Backup copies retained for up to 90 days per our data retention policy
  • Content already published to social media platforms (governed by those platforms' terms)

7.2 Our Content

All other content, features, functionality, trademarks, service marks, logos, and branding of the Service are owned by Arya Labs, Inc. and protected by international copyright, trademark, patent, and other intellectual property laws. You may not copy, modify, or create derivative works without our express written permission.

7.3 Feedback

If you provide feedback, suggestions, or ideas about Fanbeam, you grant us an unrestricted, perpetual, royalty-free right to use and incorporate such feedback without compensation or attribution.

8. Subscription Plans and Billing

8.1 Subscription Plans

Fanbeam offers various subscription plans with different features and usage limits. Current plans and pricing are available at fanbeam.app/pricing.

8.2 Billing and Payment

  • All payments are processed securely through Stripe
  • Subscriptions are billed in advance on a monthly or annual basis
  • Subscriptions automatically renew unless canceled before the renewal date
  • You authorize us to charge your payment method for all fees
  • You must maintain valid payment information in your account
  • Failed payments may result in service suspension or termination

8.3 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will:

  • Not affect your current billing period
  • Take effect at your next renewal after the notice period
  • Be communicated via email and in-app notifications

If you do not accept a price change, you may cancel your subscription before the new price takes effect.

8.4 Cancellation and Refunds

  • You can cancel your subscription anytime from account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until the billing period ends
  • We do not provide refunds for partial billing periods
  • We do not provide refunds for unused features or services
  • Refunds may be issued at our sole discretion for exceptional circumstances

8.5 Free Trial

We may offer free trials for new users. Free trials:

  • Are available once per user/organization
  • Automatically convert to paid subscriptions unless canceled
  • May have limited features or usage restrictions
  • Can be modified or discontinued without notice

9. Service Availability and Support

We strive for high availability but do not guarantee:

  • Uninterrupted or error-free service operation
  • That posts will publish at the exact scheduled time (delays may occur due to platform APIs, rate limits, or technical issues)
  • Compatibility with all social media platform features or future API changes
  • That all features will remain available indefinitely
  • Prevention of all security threats or data breaches

We may perform scheduled maintenance or updates that temporarily affect service availability. We will provide reasonable notice when possible but reserve the right to perform emergency maintenance without notice.

Support

Customer support is provided via email at support@fanbeam.app. Support response times vary by subscription plan and issue severity. We do not guarantee specific response times unless explicitly stated in your plan.

10. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

  • We encrypt OAuth tokens with XChaCha20-Poly1305 before storage
  • We store media files in Amazon S3 with server-side encryption
  • We use AWS infrastructure for secure, reliable hosting
  • We comply with GDPR and CCPA requirements
  • You can request a copy of your data at any time
  • Data is deleted according to our retention policy upon account closure

11. Team and Organization Features

If you use Fanbeam's team or organization features:

  • The organization owner has full control over the workspace
  • Owners can invite, remove, and manage member permissions
  • Members' access is limited by their assigned role (member, admin, owner)
  • All team members must comply with these Terms
  • The organization owner is responsible for all team member actions
  • Billing is managed at the organization level

12. Termination

12.1 Termination by You

You may close your account at any time from account settings. Upon closure:

  • Your subscription will be canceled (no refunds for remaining period)
  • OAuth tokens will be immediately revoked and deleted
  • Your data will be deleted according to our retention policy
  • Backups will be purged within 90 days

12.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent, illegal, or abusive behavior
  • Fail to pay subscription fees (after reasonable notice)
  • Pose a security or legal risk to us or other users
  • Remain inactive for an extended period (12+ months)

We will provide notice when possible, but reserve the right to terminate immediately for serious violations. Termination does not waive any fees owed.

12.3 Effect of Termination

Upon termination by either party:

  • Your access to the Service immediately ceases
  • Content already published to social media remains on those platforms
  • Scheduled posts that haven't published will be canceled
  • These Terms remain in effect for provisions that survive termination (liability limitations, dispute resolution, etc.)

13. Disclaimers and Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES
  • WE DO NOT WARRANT THAT CONTENT WILL PUBLISH SUCCESSFULLY TO ALL PLATFORMS
  • WE ARE NOT RESPONSIBLE FOR THIRD-PARTY PLATFORM API CHANGES, OUTAGES, OR RESTRICTIONS
  • YOU USE THE SERVICE AT YOUR OWN RISK

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ARYA LABS, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • THIS INCLUDES LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • THIS APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY
  • IF YOU HAVE NOT PAID US ANYTHING, OUR LIABILITY IS LIMITED TO $100 USD

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless Arya Labs, Inc., its affiliates, officers, directors, employees, agents, and licensors from any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your content or content you publish through the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

16. Third-Party Services and Links

Fanbeam integrates with third-party social media platforms, payment processors, and other services. We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Third-party terms of service, privacy policies, or practices
  • Actions or omissions of third-party services
  • Platform API changes, deprecations, or restrictions

Your use of third-party services is governed by their respective terms and policies. We do not endorse third-party services and provide integration for your convenience only.

17. Dispute Resolution and Arbitration

17.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@fanbeam.app to attempt informal resolution. We will attempt to resolve disputes within 60 days.

17.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration rather than in court, except:

  • Either party may seek injunctive relief in court
  • Disputes in small claims court jurisdiction

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, or another mutually agreed-upon arbitration provider. You and Arya Labs, Inc. agree to waive the right to a jury trial or to participate in a class action.

17.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action. The arbitrator may not consolidate multiple parties' claims.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes not subject to arbitration shall be resolved in state or federal courts located in Delaware.

You consent to the personal jurisdiction and venue of such courts. If you are accessing the Service from outside the United States, you do so at your own initiative and are responsible for compliance with local laws.

19. Modifications to the Service

We reserve the right to:

  • Modify, suspend, or discontinue any feature or functionality
  • Change platform integrations or supported social media platforms
  • Update technical requirements or system compatibility
  • Impose new or different limits on features

We will provide reasonable notice of material changes when possible, but are not obligated to maintain any particular feature or functionality.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Sending an email to the address associated with your account
  • Displaying a prominent notice in the Fanbeam dashboard
  • Updating the "Last updated" date at the top of this page

Your continued use of Fanbeam after changes constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Service and close your account.

21. Severability and Waiver

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

22. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Arya Labs, Inc. regarding the Service and supersede all prior agreements and understandings.
